ProSiebenSat.1 Media SE today announced changes to its Supervisory Board in line with its new shareholder structure.
Effective immediately, Klára Brachtlová and Christoph Mainusch have stepped down from their positions on the Supervisory Board.
Klára Brachtlová, a representative of PPF, joined the Board in 2023. Following PPF’s sale of its ProSiebenSat.1 shares to MFE MEDIAFOREUROPE N.V. (“MFE”), she has resigned from her mandate.
Christoph Mainusch, who has served as an independent member since 2024, is also vacating his position, making room for a representation more closely aligned with the new ownership structure.
This transition comes after the successful settlement of MFE’s voluntary public takeover offer, which has resulted in MFE becoming the clear majority shareholder of ProSiebenSat.1 with a 75.61% stake in the company’s share capital.
ProSiebenSat.1 will shortly apply for the court appointment of two new Supervisory Board members to reflect this shareholder change.

With these adjustments, ProSiebenSat.1 will ensure that the Supervisory Board reflects its new majority ownership under MFE.
